Amendment
No. 2 to Registry Agreement
Amendment No. 2 effective as of 30 January 2007 ("Amendment")
to the Registry Agreement dated 31 July 2001 ("Agreement"),
by and between the Internet Corporation for Assigned Names and Numbers,
a not-for-profit California corporation ("ICANN"), and The
Global Name Registry Ltd., a private limited Company incorporated in
England and Wales under the Company Number 4076112 ("Registry
Operator"). Capitalized terms used but not defined herein shall
have that meaning ascribed to them in the Agreement.
Whereas, on 16
January 2007 the ICANN Board of Directors adopted resolution 07.03
(http://www.icann.org/minutes/prelim-report-16jan07.htm)
and approved a proposed new registry service from the Registry Operator
for the limited release of two-character names.
Whereas, at such 16 January 2007 meeting of the ICANN Board of Directors,
the Board authorized the ICANN President and General Counsel to implement
modifications to this Agreement as deemed necessary to provide for
the limited release of two-character names by Registry Operator.
Now, therefore, in consideration of the mutual agreements contained
herein and intending to be legally bound hereby, the parties hereto
amend the Agreement as follows:
- Section 3.8.3
- All two-character labels shall be shared at the second-level
and maintained by the Registry Operator. Two-character names shall
be released by the Registry Operator for third-level registrations
and SLD email addresses only. The Registry Operator should take
measures to avoid confusion with corresponding country codes. The
Registry Operator shall publish for a period of twelve months from
the date of this amendment a notice that the shared second-level
in question is unrelated to the corresponding country code and
is being used as a shared last name for personal names on the third
level. The Registry Operator shall also implement this service
with full consideration of the GAC Principles and Guidelines for
the Delegation and Administration of ccTLDs (http://gac.icann.org/web/home/ccTLD_Principles.rtf).
Except as expressly amended hereby, the Agreement and the Appendices
thereto shall remain and continue in full force and effect. This Amendment
may be executed in any number of counterparts, all of which together
shall constitute one and the same instrument.
The parties have duly executed this Amendment as of the date first
written above.
